What Is SI-550 Form?

Form SI-550, Statement of Information , is a document that must be filed by every California stock, agricultural cooperative, and registered foreign corporation in order to provide the Secretary of State with information about the business's officers, directors, registered agents, and address. The current SI-550 Form was released by the California Secretary of State and last revised on March 1, 2024 . A fillable Form SI-550 is available for download below.

What Is Different Between Form SI-550 and SI-200?

California Form SI-550 may only be used by stock cooperatives, agricultural cooperatives, or registered foreign corporations. If a domestic stock or agricultural cooperative corporation needs to file a Statement of Information, they must use Form SI-200, Statement of Information that was developed especially for them. Considering the specifics of this type of corporation, the application must be filed within 90 days after the filing of its initial Articles of Incorporation and annually thereafter during the applicable period.

Instructions for Form SI-550

The form itself provides the necessary instructions for filling it out, however, there are some parts that need additional attention. One of these is that within the form an applicant is not allowed to abbreviate the name of the city, regardless to which address they are filling out. Others include:

  1. Corporation Name. Must be entered precisely as it stated on the file with the California Secretary of State and must include the entity ending;

  2. Secretary of State File Number. Here an applicant must indicate a seven-digit number, which can be found above the file stamp at the top of the corporation's registration document filed with the California Secretary of State;

  3. Business Address. This section consists of three parts, where an applicant must fill out:

    • Street Address, city, state, and zip code of Principal Executive Office. This address must be a physical address, do not enter a PO Box or an "in care of" address;
    • Mailing Address of Corporation (if it is different than the previous item). Here an applicant is allowed to use a PO Box address or "in care of" an individual or entity;
    • Street Address of Principal California Office (if there is any and if it is different than the first address). This address must be a physical address in California. Like in the first item, an applicant is not allowed to use a PO Box or an "in care of" address;
  4. Officers. This part requires an applicant to provide the names and complete business or residential addresses of the corporation's:

    • Chief Executive Officer;
    • Secretary; and
    • Chief Financial Officer;
  5. Director(s). This area must only be filled out by California Stock and Agricultural Cooperative Corporations. If they have more than one director, then they're required to enter the name/names and addresses of the additional directors on Form SI-550A;

  6. Service of Process. A corporation must have an Agent, which must be indicated in this part of the form;

  7. Type of Business. Describe the nature of the business in a few words: shortly, but clear;

  8. Validation of information, date, name, and signature.

The last part is quite self-explanatory, an applicant indicates that the information stated in the form is true and correct and signs it.

How Often Do I Have to File a Form SI-550?

After completing Form SI-550 an applicant can attach a Mail Submission Cover Sheet to the form and file it with the California Secretary of State (Business Programs Division, address: PO Box 944230, Sacramento, CA 94244-2300). Although a Mail Submission Cover Sheet should be completed and included with the submission, it is treated as correspondence and is not considered as a part of the Statement of Information or any other form.

According to the "Instructions for Completing the Statement of Information", California Form SI-550 has several types of filing:

  • Initial filing. Within 90 days of registering with the California Secretary of State. Fee $25.00;

  • Periodic filing. This type of filing requires the applicant to file the form every year during a specific 6-month filing period based on the original registration date. Fee $25.00;

  • Before the next required statement is due but after the initial or required filing (to update information if there were any changes made). No fee required.

If no changes took place and all the information from the previous Statement of Information is new, then instead of Form SI-550 an applicant can use Form SI-550 NC, Statement of No Change.
