SERVICE LEVEL AGREEMENT FOR REVALIDATION PROVISION
PART 1:
PARTIES TO THE AGREEMENT AND DEFINITION OF TERMS
1.0
PARTIES TO THE AGREEMENT
[E.g. hospice] (“The Purchaser”) and [E.g. X Foundation Trust] (“The Provider”).
PART 2:
THE SERVICE AND ITS CONDUCT
2.1
THE SERVICES
The agreement is to provide:
2.1.1 The Medical Director/Responsible Officer of [X] NHS Foundation Trust will
provide the service of Responsible Officer (RO) on behalf of [insert name of
purchaser].
2.1.2 The RO will, in this role, act for the purchaser and not the provider in
discharging his/her statutory obligations.
2.1.3 At the end of each revalidation cycle, the RO will provide the GMC with
recommendations providing the purchaser undertakes to abide by the
provider’s policies and quality assurance processes.
2.1.4 The RO will review responses in the purchaser’s Organisational Readiness
Self-assessments (ORSA) prior to submission to NHS North East.
2.1.5 The RO’s time commitment to fulfil this role will be recorded on an hourly
basis, as and when required, in order to inform the payment process.
2.1.6 In order for the RO to fulfil his commitment to the purchaser, he/she will be
supported by the [insert infrastructure support e.g. Revalidation Manager].

as and when required, in order to inform the payment process.
2.1.7 Doctors employed by the purchaser will be given access to the same appraisal
training programme to those doctors employed by the provider.
2.1.8 Doctors employed by the purchaser will be given access to the 360° colleague
and patient feedback tool undertaken by those doctors employed by the
provider.
2.2.
THE DATE OF AGREEMENT
2.2.1 The agreement between the purchaser and the provider will commence on 1
January 2012.
2.3
DURATION OF AGREEMENT
2.3.1 The agreement will be reviewed annually.
2.3.2 Either party may terminate the agreement with a minimum notice period of six
month’s notice.

2.4.1 The provider will adhere to both [X] NHS Foundation Trust and [insert name of
purchaser] policies pertaining to confidentiality.
2.5
INTELLECTUAL PROPERTY
2.5.1 The provider shall not (other than in connection with the duties set out in this
agreement) make use of any copyright material being the property of the
purchaser.
2.5.2 The purchaser shall not make use of any copyright material (other than in
connection with the activities set out in this agreement) being the property of
the provider.
2.6
ADHERENCE TO POLICIES AND PROCEDURES
2.6.1 Whilst engaged in carrying out the duties of the post of RO. The provider
agrees to work in accordance with the policies and procedure of the [insert
name of purchaser].
PART 3:
GENERAL MUTUAL OBLIGATIONS
3.1
MUTUAL OBLIGATIONS BETWEEN THE PURCHASER AND THE PROVIDER.
3.1.1 It is recognised that in order for this arrangement between [X] NHS
Foundation Trust and [insert name of purchaser] to operate effectively that
both organisations work in a spirit of mutual trust and confidence.
3.1.2 In order to ensure the best service for patients, service users and to ensure
the effective running of the service both parties agreed -
To co-operate with each other;
To maintain goodwill;
To agree and operate a role which meets the requirements of both
organisations.
To keep each other informed of any matters concerning performance or
conduct that could lead to formal action being taken.
PART 4:
PRICE AND PAYMENT
4.1
CONTRACT PRICE
4.1.1 An invoice will be raised on a quarterly basis to reflect the time spent by the
RO at an hourly rate of £[X].
4.1.2 An invoice will be raised on a quarterly basis to reflect the time spent by the
[E.g. Revalidation Manager (Agenda for Change Band [X] top of scale / other
support infrastructure) at an hourly rate of £[X].
Pension contributions will be those of the NHS pension scheme and national
insurance contributions will be those pertaining at the time of the contract.
4.1.3 The provider will alter the contract price to reflect, additional incremental
progression; any changes in employers pension contributions or national
insurance contributions and annual inflation.
4.1.4 Should the purchaser terminate the contract they would be responsible for any
redundancy payments incurred by the provider in relation to this post.

4.1.5 An invoice will be raised for the cost of each 360º colleague and patient
feedback (current cost is £[X]).
4.1.6 An invoice will be raised for the cost of each training session attended by a
doctor at a nominal cost (yet to be determined).
4.2
PAYMENT
4.2.1 The provider will raise an invoice on a quarterly basis. Payment will be made
by the purchaser within fifteen days of an invoice being received by the
purchaser.
PART 5:
CONTRACT VARIATION AND ARBITRATION
5.1
VARIATION OF CONTRACT
5.1.1 Neither party will change the service specification unless both confirm their
acceptance of such changes in writing.
5.2
ARBITRATION
5.2.1 Any dispute, difference or question between the parties to this agreement,
with respect to any matter arising out of relating to this agreement, which
cannot be resolved by negotiation or under the provisions of this agreement,
shall be submitted to a mutually agreed neutral party for arbitration.
