What Is SBA Form 1031?

SBA Form 1031, Portfolio Financing Report is a form completed by small business investment companies (SBICs) to provide the Small Business Administration (SBA) with financial information used for compiling statistical data. All SBA-licensed SBICs should submit their Portfolio Financing Report on the SBA 1031 within 30 days of the closing date for each Financing of a Small Business.

The newest edition of the form was released by the SBA on November 1, 2017 , with all previous editions obsolete. The latest printable SBA Form 1031 is available for download below.

The actual report must be filed electronically and submitted through the SBIC-Web system. using an SBA-approved user account. Request an account by sending an application to sbicwebsupport@sba.gov.

SBA Form 1031 Instructions

  1. The top two lines of the form require the name of the licensee and their license number.

  2. Part A is for small business concern data.

    • Lines 1 through 10 require the employer's EIN, their full home address, the name of the small business, its email address, the contact information of a representative and the date the business was established.
    • Line 11 requires identifying the small business as either a partnership, a corporation, an LLC or proprietorship.
    • A North American Industrial Classification System (NAICS) code and industry type are specified in Line 12a. The use of an Energy Saving Qualified Investment should be disclosed in Line 12b.
    • If any part of the business is owned by individuals from a specific ethnic minority, the percentage of their shares should be specified in Line 13.
    • The percentage of the business owned by women or veterans - if any - should be specified in Lines 14a and 14b.
    • Women-run companies and minority-run companies must complete Line 15.
  3. Part B is for providing pre-financing information.

    • The pre-financing status is specified in Line 16. The stage of the company at financing is provided in Line 17a.
    • Any technology developed with the help of either Small Business Innovation Research (SBIR) funding or Small Business Technology Transfer (STTR) funding is identified in Line 17b.
    • Line 18 is for the small business company's pre-money valuation.
    • Line 19 requires the end date of the fiscal year ending immediately prior to the date of financing.
    • The gross revenue for the prior fiscal year is given in Line 20.
    • The after-tax profit or loss is for the prior fiscal year is specified in Line 21.
    • Line 22 is for the income taxes for the previous fiscal year.
    • The business's net worth and the number of employees are given in Lines 23 and 24.
  4. Part C is for providing financing information.

    • The dates of financing and disbursement are specified in Lines 25a and 25b.
    • If the Licensee led the investment, it should be specified in Line 26.
    • Line 27 requires the percentage of financing for each of the ten categories provided on the form.
    • Line 28 is completed if the current Financing of this Small Business by the License is the first one for this business.
    • Financing instruments and applicable amounts are described in Line 29.
    • Line 30 requires the total size of financing round for the small business.
    • If the financing is structured using one or more passive businesses as defined in 13 CFR 107.720(b)(1), this should be indicated in Line 31. A positive answer requires attaching proof to the SBA Form 1031 as described in Part D before submitting.
  5. Part E is for the verification of transmission and for the date of transmission.
