What Is Form 1?

Form 1, Initial Return/Notice of Change, is a formal document filled out by all Ontario-based businesses and not-for-profit corporations to inform the authorities about the main details that identify their organization and about all the modifications in their corporate information considered public. Once you have set up your company, you have sixty days to file an initial return. Then, if you have moved and changed your registered address, decided to receive mail at a different address, or appointed a new official that represents your company, you need to notify the Companies and Personal Property Security Branch about the change within fifteen days. If you fail to submit the required information, your corporation may be dismissed.

Ontario Form 1 Instructions

Follow these steps to prepare the Ontario Form 1:

  1. Prepare an email request form to receive important updates and notifications from the Ontario business registry.
  2. Check the box to indicate whether this is the initial return or you are composing a notice of change.
  3. State your corporation number and the date of incorporation or amalgamation.
  4. Enter the name of the corporation.
  5. Write down the addresses of the organization - the registered address or head office address and the mailing address.
  6. Record your preferred language - check the appropriate box to select English or French.
  7. Type your name, certify the information in the form is true and correct, and indicate your title.
  8. Confirm you are attaching at least one Schedule A to your notice.
  9. Complete Schedule A to provide the details of the director and senior officers of the organization. It is required to state their names, addresses, dates of election, appointment, and cessation, and indicate whether the director of a business corporation is a Canadian resident.

Instructions for Completion
The attached form is to be used by a corporation that is incorporated, continued or amalgamated in Ontario:
(A)
as an Initial Return to be fi led within 60 days of the date of incorporation, continuation or amalgamation;
OR
(B)
as a Notice of Change that must be fi led within 15 days after the change or changes take place in the
information previously fi led.
It is not necessary to fi le a notice of change in respect of a director’s retirement and subsequent re-election for consecutive
terms of offi ce.
A duplicate copy of the return/notice must be kept at the Corporation’s registered/head offi ce in Ontario and must be
available for examination.
Please type or print all information in block capital letters using black ink.
Only information completed within the input boxes will be captured and refl ected in the Public Record.
All items on Form 1 and Schedule A must be completed in full, unless otherwise indicated.
Documents fi led with the Central Production and Verifi cation Services Branch must be legible. Documents that do not
conform to this standard will be returned to the corporation.
All dates must be completed using the following numeric format:

Addresses must be completed in full, including the street number and name, the city or town and the unit or suite number, if
applicable. The province or state, country and postal code must be included when required. Do not use abbreviations for
provinces, states or countries. Post offi ce box numbers cannot be used.
Please note that any handwriting or typing outside the designated boxes will be ignored because it is not part of the
approved form.
FEE
There is no fee for the fi ling of an initial return or notice of change.
PENALTIES
Sections 13 and 14 of the Corporations Information Act provide penalties for contravening the Act or Regulations.
Section 18(1) of the Act provides that a corporation that is in default of a requirement under this Act to fi le a return/notice or
that has unpaid fees or penalties is not capable of maintaining a proceeding in a court in Ontario in respect of the business
carried on by the corporation except with leave of the court.

COMPLETION OF FORM 1
Item 1:
Initial Return/Notice of Change:
Indicate whether a business corporation or not-for-profi t corporation is fi ling an initial return or a notice of change
by placing an X in the appropriate box. (Choose one box only.)
Item 2:
Ontario Corporation Number:
Insert the Ontario Corporation Number. This number appears in the top right corner of your Certifi cate of
Incorporation/Continuation or Amalgamation or your Letters Patent.
Item 3:
Date of Incorporation or Amalgamation:
Insert the full date of incorporation or amalgamation, whichever applies.
Item 4:
Corporation Name:
Insert the name of the corporation, including all punctuation and correct spacing.
Item 5:
Address of Registered or Head Offi ce in Ontario:
Complete the full address of the Registered or Head Offi ce in Ontario. Post offi ce box numbers cannot be used.
A street address or lot and concession number is required.
Item 6:
Mailing Address:
Do not leave this item blank.
If the address is the same as the registered or head offi ce address, place an X in the box provided.
If the address is different from the registered or head offi ce in Ontario, you must set out the address in full.
If you do not wish to set out a mailing address, place an X in the “Not Applicable” box.

Language of Preference:
Specify whether you prefer to receive correspondence from Central Production and Verifi cation Services Branch
in English or French.

Number of Schedule A(s) submitted:
Schedule A must be submitted with your form. Specify the number of Schedule A(s) you are submitting.
NOTE:
A blank Schedule A may be photocopied if required.
Item 9:
Person Authorizing Filing:
Print the name of the person authorizing the fi ling. This must be a director, offi cer or other individual having
knowledge of the affairs of the corporation. The name of the individual must be completed in the box provided
and an X must be placed in the appropriate box to indicate whether the individual is a director, offi cer or other
individual having knowledge of the affairs of the corporation.

COMPLETION OF SCHEDULE A
Complete all applicable items on Schedule A in full, including the Ontario Corporation Number and Date of Incorporation or
Amalgamation.
Schedule A must report all information pertaining to directors and the fi ve most senior offi cers of the corporation and must
include all changes that have taken place since the fi ling of the initial return, special notice, annual return or most recent
notice of change.
One director/senior offi cer information section must be completed for each individual who is a director and/or senior offi cer
of the corporation.
There must be a minimum of one director in a non-offering business corporation and a minimum of three directors in a
not-for-profi t corporation or an offering business corporation.
Not-for-profi t corporations must also have a minimum of two senior offi cers, namely a president and a secretary, plus three
directors.
DIRECTOR/OFFICER INFORMATION
The following two sections must be completed for each individual:
NAME
Complete the name in full, providing last, fi rst, and middle name or initials.
ADDRESS
A full address for service is required for the individual. A box number is not acceptable.
Director Information
If the individual is a director, the next three sections must be completed.
Resident Canadian
This information is required for directors of business corporations only.
Specify whether the individual is a Resident Canadian by checking yes or no.
Date Elected
Complete the date on which the individual became a director.
Date Ceased
Insert the date the director ceased to hold his/her position.
If the date ceased has been completed, the date the director assumed his/her position must also be
completed.
Offi cer Information
If the individual is one of the fi ve most senior offi cers, the next two sections must be completed:
Date Offi cer Appointed
Complete the date the individual was appointed as a senior offi cer under the appropriate title(s).
If the senior offi cer is not the president, secretary, treasurer or general manager, select the appropriate
position(s) from the pre-printed « Other Titles » list and include the proper date appointed.
Date Offi cer Ceased
Insert the date the senior offi cer ceased to hold his/her position, or
Insert the date an offi cer ceased to be one of the fi ve most senior offi cers (as applicable).
If the date ceased has been completed, the date the offi cer assumed his/her position must also be
completed.

La formule ci-jointe est à l’usage des personnes morales constituées, prorogées ou fusionnées en Ontario :
A) soit à titre de rapport initial; elle doit être déposée dans les soixante (60) jours de la date de constitution,

Il n’est pas nécessaire de déposer un avis de modifi cation quand il s’agit de la retraite et de la réélection immédiate d’un
administrateur pour un nouveau mandat.
Un double du rapport de l’avis doit être conservé au siège social en Ontario de la personne morale et doit être disponible
pour examen.
Prière de dactylographier les renseignements ou de les écrire en caractères d’imprimerie, à l’encre noire.
Seuls les renseignements indiqués dans les cases ou sections prévues à cet effet seront saisis et consignés aux
dossiers publics.
Toutes les rubriques de la Formule 1 et de l’Annexe A doivent être dûment remplies, sauf indication contraire.
Les documents déposés auprès de la Direction des services centraux de production et de vérifi cation doivent être propres et
lisibles. Les documents non conformes seront retournés.

pour la province, l’état ou le pays. Une case postale ne constitue pas une adresse.
NOTE : Les renseignements inscrits au stylo ou à la machine hors des cases ou des sections désignées ne seront
pas pris en compte.
DROITS
Aucun droit n’est exigible pour le dépôt d’un rapport initial, ni pour un avis de modifi cation.
INFRACTIONS ET PEINES
Les articles 13 et 14 de la Loi sur les renseignements exigés des personnes morales prévoient des peines pour la
contravention à la présente loi ou à ses règlements.
Le paragraphe 18(1) prévoit que la personne morale qui a omis de déposer un rapport/avis conformément aux exigences
de la présente loi ou d’acquitter des droits ou pénalités ne peut introduire ni continuer une instance devant un tribunal de
l’Ontario à l’égard des activités exercées par cette personne morale, sauf avec l’autorisation du tribunal.
