In the matter of the application for limited partnership revival for:

In order to revive, one of the general partners listed on the Certificate of Limited Partnership at the time of cancellation
must still be a general partner. Additionally, the limited partnership must have canceled its Certificate of Limited
Partnership pursuant to the Uniform Limited Partnership Act of 2008. The limited partnership was subject to the Uniform
Limited Partnership Act of 2008 at the time of cancellation if:
1. It canceled its Certificate of Limited Partnership on or after January 1, 2010.
2. It canceled its Certificate of Limited Partnership on or after January 1, 2008, but before January 1, 2010, and it either
was formed:
(a)
On or after January 1, 2008.
(b)
Before January 1, 2008, and elected to be governed by the Uniform Partnership Act of 2008 prior to or at the
time of cancellation (California Corporation Code Section 15902.03).
If 2(b) above applies, attach a copy of one of these Secretary of State file dated documents to this application:
Form LP-4/7, Limited Partnership Certificate of Cancellation.
Form LP-2, Amendment to Certificate of Limited Partnership.
Form LP-10, Restated Certificate of Limited Partnership (showing the election to be governed by the Uniform
Partnership Act of 2008).
We charge a nonrefundable fee to entities that request a walk-through revival (Revenue and Taxation Code
Section 19591). The fee is due and payable at the time of service. You must pay with certified funds (cashier’s check or
money order).
