Pursuant to the authority in Section 10-3-10(b), B.R.C. 1981, “transfer of ownership” requirements (i.e., Baseline

At least one transferring owner is a member of the Limited Liability Company; and

No exchange of consideration took place as a condition of the transfer (no sale).
