Maine NDA: How to Make?
Follow these steps to prepare a Maine NDA that will safeguard the legal interests of both counterparts:
- Enter the full names and contact details of the counterparts. You may also specify the driver's license number of the recipient if they are a private individual.
- Indicate the non-disclosure period. It may make sense to safeguard some sensitive data for many years and even indefinitely; however, if you are working in an industry that is ever-changing and the information will inevitably lose its value within a few years, there is no reason to request the recipient of the information to keep it private forever, and you should limit the duration of the contract to several years.
- Outline the details that are covered by the NDA. If you have given access to numerous records and documents, it is recommended to refer to them in writing and record the dates they were drafted. Additionally, you need to exclude certain information - for instance, if the details were known to the recipient before the collaboration with the disclosing party, they cannot be responsible for keeping it secret under the terms of the agreement.
- Make sure your proprietary information is safe by including a non-compete clause to the contract with a person whose employment agreement is terminated. It will prevent them from working for your competitors in a specified geographical area. Note, however, that you may need to provide them with compensation since they are losing a potentially profitable job opportunity.
- Sign the papers and write down the actual date. To add an extra level of protection to the NDA, you need to appear before the notary public - the latter will check the identification documentation of the parties or their legal representative and put their notary seal under the signatures.
