Oregon NDA: How to Make?
Traditionally, an Oregon NDA should include the following elements to be considered enforceable and accepted by authorities and courts alike:
- Identification of the parties. Indicate the names of the counterparts and their contact details.
- List of the proprietary information covered by the NDA. Be as clear and unambiguous as possible - do not let the other party misinterpret your intentions when it comes to the details that must be kept private. Usually, this list mentions financial details, client lists, software designs, product descriptions and specifications.
- Duration of the contract. Depending on your professional relationship, the parties can be bound to the terms of the NDA for several months or years. If your company is used to offering indefinite agreements to the most valuable employees, investors, and clients, you can do that but only if it is reasonable - most trade secrets and financial records do not have much value after a while.
- Resolution of disputes. Before the non-breaching party files a lawsuit asking their counterpart to pay compensation for the contract violation, it is advised to talk the issue through. The first step to take is to send a formal notice asking the breaching party to stop the illegal disclosure of data and demand them to pay a certain sum of money.
- Non-compete clause. An organization can prevent their ex-employee from working for their local competitors adding this provision to the document the parties sign upon the termination of the employment agreement if they believe the potential employment will involve the disclosure of sensitive information.
- Signatures and the actual date of signing. Bring the papers to the local notary public to ask them to confirm your identities and put a notary seal on the document.
