A Florida Non-Disclosure Agreement is a formal contract that covers the details of the confidential relationship created between the owner of this information and its recipient.

Florida NDA: How to Make?
Here is how you can compose an effective Florida NDA that will protect the interests of both parties:
- Identify the parties to the contract - the disclosing party and the person or organization that received the confidential details. It is better to use names and addresses; if one of the parties is an individual with a common name, you may also add their driver's license number to avoid confusion in the future.
- Determine what kind of information is protected by this NDA and mention exclusions from the recipient's duty to keep the information private. It is very important to spell out what is covered by the agreement and also prevent the non-breaching party in case the sensitive data is disclosed by someone else or becomes public knowledge in a different manner.
- Indicate the timeframe of the contract. There are several options - you may opt for indefinite protection or forbid the disclosure of information for several years: it will depend on your wishes and on the value of the details in question.
- In case you represent the employer (for instance, drafting this document on behalf of the human resources department), you may also prevent the employee that leaves your company from working for a competitor by adding a non-compete clause to this contract.
- Sign the document in the presence of a notary public. The notary seal will confirm the parties have signed the deal without duress and deceit from either party; besides, it will add an extra level of protection to the NDA - it is always harder to dispute the terms of the document that was notarized.
