What Is the Difference Between a Contractor and an Employee?

An independent contractor is a self-employed individual or a business that provides services to clients for monetary compensation. Contractors use their own tools and equipment and may hire subcontractors. On the other hand, an employee is hired by an employer who establishes their wages and supervises the employee's work.

Contractors send invoices to their clients for the price of the provided services and handle their own tax filings, while employees receive a paycheck that shows the tax deductions taken out by the employer for each pay period. Employees receive employment benefits - sick pay, paid vacation days, and have health insurance. Independent contractors do not receive any of these benefits from their customers. An employee enters into an employment contract that is drastically different from standard Independent Contractor Agreements.

Service Agreement Vs. Independent Contractor Agreement

Contractor Agreements should not be confused with a Service Agreement - a verbal or written contract between a customer and a service provider. Usually, a Service Agreement is signed when the terms of the agreement are relatively easy to comprehend and the services are performed almost immediately - for instance, a client goes to a hairdresser.

A Freelance Contract is another related document. A freelancer usually works remotely on a number of various projects at the same time, while an independent contractor works from the project location, on one project at a time, for a long period of time.

How to Write a Contractor Agreement?

A simple Contractor Agreement has to include the following details:

Warranty.

warrants
the
Services

defects

6. Independent Contractor Relationship. ​ T he Parties agree that the Contractor is
providing the Services under this Agreement and acting as an Independent Contractor
and not as an employee. This Agreement does not create a partnership, joint venture,
or any other fiduciary relationship between the Customer and the Contractor.
7. Confidentiality. ​ D uring the course of this Agreement, it may be necessary for the
Customer to share proprietary information, including trade secrets, industry
knowledge, and other confidential information, with the Contractor in order for the
Contractor to complete the Services. The Contractor will not share any of this
proprietary information at any time. The Contractor also will not use any of this
proprietary information for their personal benefit at any time. This section remains in
full force and effect even after termination of the Agreement by it’s natural
termination or the early termination by either party.
8. Subcontractors. The Contractor may engage subcontractors to perform work at its
discretion, provided that the Contractor shall fully pay any subcontractor and in all
instances remain responsible for the proper completion of this Agreement.
9. Termination.
9.1. By Customer. ​ T he Customer can terminate the Agreement by giving written
notice:
(a) ​ i f the Contractor commits any material breach of this Agreement and fails
to correct the breach within ________________ days of notice of the breach; or
(b) if there is any repeated failure by the Contractor to provide the Services of
an acceptable standard and to the reasonable satisfaction of the Customer.
9.1. By Contractor. ​ T he Contractor can terminate the Agreement by giving written
notice:
(a) if the Customer fails to make the payments required and set forth in Section
2 within __________________ days of notice of failure to make a payment; or
(b) if the Customer commits any other material, non-financial breach and fails
to correct the breach within __________________ days of notice of the breach.
10. Legal Fees. In the event of a dispute resulting in legal action, the successful party
will be entitled to its legal fees, including, but not limited to its attorneys’ fees,
collection fees and the like.
11. Legal and Binding Agreement. ​ T his Agreement is legal and binding between the
Parties as stated above. The Parties each represent that they have the authority to enter
into this Agreement.
12. Governing Law and Jurisdiction. ​ T he Parties agree that this Agreement shall be
governed by _______________________ law.
